Terms of Service
AgenticED, Inc.
Effective Date: October 13, 2026
1. These Terms and Which Ones Apply to You
These Terms govern use of AgenticED's websites, platform, and products. Different people use them in different ways, and the terms that apply depend on who you are.
If you are a school district or educational agency, your written agreement with us governs, including the Data Processing Agreement. These Terms apply only where your agreement is silent. Where the two conflict, your agreement controls.
If you are a parent, guardian, or student using a product your district provides, these Terms govern your use, and your district's agreement governs what happens to the information. Your district is our customer. Our obligations about your information are in the Privacy Policy and Student Data Privacy.
If you are a parent or family using a product we or a partner organization provide directly, these Terms are your agreement with us.
If you are a technology vendor using our developer tools or certification program, these Terms apply together with Section 9 and your vendor agreement.
2. Accounts
You need an account for most of the platform. You must provide accurate information, keep your credentials secure, and tell us promptly at security@agenticed.com if you believe an account has been compromised. You are responsible for activity under your account, except where it results from our failure.
District and school accounts are created and managed by the district. If your district removes your access, we follow the district's instruction.
Each account is for the person it was issued to. Sharing credentials undermines the audit record districts rely on for compliance.
3. What the Service Does and Its Limits
AgenticED coordinates AI agents and the information they reach, and helps families find and apply for aid, benefits, and opportunities. The limits below describe how our products work, and misunderstanding them could cost someone something.
3.1 We Do Not Decide Eligibility or Grant Benefits
Our products estimate eligibility and help prepare applications. We do not determine eligibility for any benefit, aid, or program, and we cannot grant one. Those determinations belong to the agencies that run the programs: the U.S. Department of Education, state benefit agencies, districts, and scholarship providers. An estimate from our platform is an estimate.
When we cannot tell whether you qualify, we say that we could not tell. We do not say that you do not qualify. The two answers lead to different actions. If our platform says it could not determine your eligibility, apply anyway.
3.2 We Do Not Give Legal, Financial, or Tax Advice
Information about benefits, financial aid, taxes, special education rights, or custody is general information about those subjects. It is not legal, financial, or tax advice about your situation, and using our products does not create a professional relationship. For advice about your own circumstances, talk to a qualified professional.
3.3 Our Products Use AI, and AI Makes Mistakes
Our products use large language models. Model output can be wrong, incomplete, or out of date, and it can be wrong while sounding certain.
Review anything that matters before relying on it. Where we extract data from your documents, check the extracted values before using them. We show them to you for that reason. Where we summarize or recommend, treat it as a starting point.
We design for this. Federal aid and benefit amounts are served from verified sources, our knowledge services answer from district and program content, and our products are built to say when they do not know. None of that guarantees the output.
3.4 Outcomes Are Not Promised
Our products are designed to improve outcomes, and some of our materials describe results other districts have seen. Nothing we publish is a promise of a result, including a graduation rate, an aid amount, a retention figure, or a test score.
3.5 The Service Depends on Your District's Data
Most of what our products show about a student comes from the district's own systems. If that data is wrong, late, or missing, our output reflects it. We are not responsible for the accuracy of data a district or a third-party system provides, and we will help diagnose problems with it.
4. Acceptable Use
You may use the platform for its intended purpose: your own work, your family's, or your district's.
You may not:
- Access, or try to access, data you are not authorized to see
- Interfere with the platform's security, or test it except as described under Reporting a Vulnerability in our Security Overview
- Use the platform to harass, harm, or endanger anyone, particularly a student
- Misrepresent who you are or what authority you have, especially when claiming a relationship to a student
- Use the platform for advertising or to build a marketing profile of anyone
- Scrape, resell, or redistribute platform data
- Reverse-engineer the platform, except as law permits
- Use the platform in violation of law
Two further rules apply because of the work our platform supports. Do not use the platform to establish a relationship with a student that you do not have. Do not use employee workforce data in an evaluation, discipline, or employment decision. The platform refuses the second in the database, as our Security Overview describes. Attempting it also violates these Terms and, for a district, its own agreement with us.
5. Your Content and Ours
Your content remains yours. Documents you upload, information you provide, and content you create remain yours. District data belongs to the district, as the Data Processing Agreement provides.
You give us the license we need to run the service for you: to store, process, transmit, and display your content for that purpose, and for no other. That license does not include training AI models.
Our platform remains ours. The platform, its software, its design, our names and logos, including AgenticED, Next Move, JustData, The Ledger, Ground Truth, Board Response, and Workspace, and our documentation are our intellectual property. You receive a limited, non-exclusive, non-transferable right to use the platform under these Terms.
Feedback. If you send us a suggestion, we may use it without obligation to you.
6. Fees
Districts and educational agencies pay under their written agreement.
Families using a product provided by their district or a partner organization pay nothing to AgenticED. If we offer a product that families buy directly, its price and purchase terms will be shown before purchase.
Vendor certification costs $5,000, payable under the vendor agreement, which sets the payment terms.
Fees do not include taxes. If an amount owed under a written agreement is not paid when due, we may suspend service after written notice and the cure period that agreement provides.
7. Term and Termination
These Terms apply while you use the platform.
You may stop using the platform at any time. Districts end service under their agreement.
We may suspend or end your access for a material breach of these Terms, for non-payment after notice, for conduct that endangers a student or another user, or where the law requires it. Except where immediate action is needed to protect someone, we will give notice and a chance to correct the problem first.
When access ends, your right to use the platform ends, and data is returned or deleted under the retention schedule in our Privacy Policy and, for districts, Exhibit D of the Data Processing Agreement. Provisions that by their nature should continue (ownership, disclaimers, limitation of liability, indemnification, and disputes) continue.
If a district ends its service, we will tell families who use it before their access ends and, where the district permits, give them a copy of their own records, including any financial aid or benefits application materials they prepared.
8. Warranties and Their Limits
We will provide the platform with reasonable skill and care, consistent with our Security Overview and our district agreements.
Otherwise, to the extent the law permits, the platform is provided "as is." We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted or error-free, that AI output will be accurate, or that using it will produce any particular result. A district's written agreement controls where it says otherwise.
9. Vendors and the Certification Program
If you build on our developer tools or seek certification:
You are responsible for your agent's behavior and for your own compliance with student privacy law. Certification is an assessment against published criteria at a point in time. It is not a warranty by us of your agent, and it does not transfer your obligations to us.
Certification criteria are measured. Our accessibility and equity tracks test your product. A declaration without a measurement behind it results in a needs-review outcome. The accessibility criterion is WCAG 2.2 Level AA.
A district's authorization of your agent comes from the district, through the gateway, and the district may revoke it at any time. Certification does not entitle you to any district's data.
We may suspend or revoke certification if your agent no longer meets the criteria, if you misrepresent its capabilities or data needs, or if it behaves in a way that endangers student data. Recertification timing, fee terms, and responsibility between you, us, and a district are set in your vendor agreement.
10. Limitation of Liability
To the extent the law permits:
- Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from these Terms or the platform.
- Each party's total liability arising from these Terms or the platform is limited to the greater of the amounts paid to AgenticED under the applicable agreement in the twelve months before the claim arose, or one hundred dollars.
These limits do not apply to a party's gross negligence or willful misconduct, to its indemnification obligations, or to AgenticED's obligations to protect student data under a district agreement. Where a district's written agreement sets different limits, that agreement controls. Nothing in these Terms limits liability that the law does not allow to be limited.
11. Indemnification
AgenticED will defend a district against a third-party claim that the platform, as we provide it, infringes that party's intellectual property rights, or that arises from our breach of our data protection obligations, and will pay the resulting damages and costs finally awarded or agreed in settlement.
A vendor will defend AgenticED and the districts that use its agent against a third-party claim arising from the vendor's agent, its handling of data, or its breach of its vendor agreement, and will pay the resulting damages and costs.
You will be responsible for claims arising from your use of the platform in violation of these Terms, to the extent the law permits. This sentence does not apply to a public entity that the law prohibits from giving an indemnity. A district's written agreement controls where it addresses indemnification.
The party seeking defense must give prompt notice of the claim, reasonable cooperation, and control of the defense to the defending party, which may not settle a claim in a way that admits fault by or imposes an obligation on the other party without its consent.
12. Disputes
Talk to us first. If you have a dispute with us, write to us at the address below. We will try to resolve it within thirty days before either party starts a legal proceeding.
Governing law and courts. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any legal proceeding arising from these Terms will be brought in the state or federal courts located in New York County, New York, and each party consents to those courts.
Public entities. A district or other public entity's written agreement controls governing law, venue, and dispute resolution. Nothing in these Terms requires a public entity to accept arbitration, a venue, or governing law that its own law prohibits.
13. Changes
We may change these Terms. We will post the updated version with a new effective date. For a material change we will give notice at least thirty days before it takes effect, to districts directly and to other users through the platform or by email. If you keep using the platform after the change takes effect, you accept it. If you do not accept it, stop using the platform. For a district, its agreement's own change provisions control.
14. Other Terms
Entire agreement. These Terms, together with any district or vendor agreement and the policies they reference, are the whole agreement on their subject.
Severability. If a provision is unenforceable, the rest remains in effect.
No waiver. Not enforcing a term once does not waive it.
Assignment. You may not assign your rights under these Terms without our consent. We may assign them to a successor, and if we do, your agreement and our privacy commitments carry over to the successor.
Events outside our control. Neither party is liable for a failure caused by events outside its reasonable control. This does not cover a failure we could reasonably have prevented through ordinary precautions, such as backups and redundancy.
Notices. Notices to us go to the address below. Notices to you go to the email address on your account or, for a district, to its designated contact.
